Terms of Service

1. Acceptance

By creating an account or using MyHermes, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the service. These Terms form a binding contract between you ("you", "your") and MyHermes ("we", "our", "MyHermes").

2. The service

MyHermes provides a dedicated, always-on AI agent ("Hermes") running in a containerized environment. You get persistent storage, scheduled tasks ("cron jobs"), and autonomous actions across integrations you authorise. Resources (CPU, RAM, storage) match your subscription tier as described on the pricing page at the time of purchase.

You are responsible for providing your own LLM API key (OpenAI, Anthropic, OpenRouter, or compatible provider). MyHermes does not provide or pay for LLM usage — all inference costs are borne by you directly through your chosen provider.

3. Account and eligibility

You must be at least 18 years old and capable of forming a binding contract under applicable law to use MyHermes. Accounts are single-user; you may not share credentials or allow others to access your container. You are solely responsible for all activity under your account.

4. Subscription and billing

Subscriptions are billed in INR, USD, or EUR depending on your selection at signup. Prices are as displayed on the pricing page and are subject to change with 30 days' notice for renewal periods. Dodo Payments processes all transactions; you agree to their payment terms as part of the checkout flow.

You may cancel your subscription at any time from the dashboard. Cancellation takes effect at the end of the current billing period. Your container is destroyed within 7 days of the billing period end. We do not issue partial refunds for unused days, except where required by applicable law (e.g., certain jurisdictions under consumer protection law).

Failed payments may result in suspension of your container after 14 days. We reserve the right to recover costs of any Stripe or payment processor reversals/chargebacks.

5. Your data and content

You retain full ownership of all content your Hermes agent processes — messages, files, prompts, outputs, and any data stored on your dedicated volume ("your content"). We do not claim any rights over your content. Your LLM API key is encrypted at rest on your volume and is never logged or transmitted outside your container.

When you cancel, your container and all associated data are permanently destroyed within 7 days. Backups are deleted on the same schedule.

6. Acceptable use

Do not use MyHermes to:

  • Engage in illegal, fraudulent, or harmful activity of any kind
  • Generate, distribute, or store CSAM, non-consensual sexual content, or content that violates others' rights
  • Send unsolicited bulk communications (spam)
  • Scrape or harvest data from services in violation of their terms
  • Use the service in a way that violates your LLM provider's acceptable use policy
  • Attempt to gain unauthorised access to any system or container
  • Use the service to host or serve malware

We may suspend or terminate accounts that violate these terms without notice and without refund if the violation is material.

7. Service availability

MyHermes is in early access. Standard plans are provided best-effort without an uptime SLA. Planned maintenance is communicated via the status page where feasible. Unplanned outages are addressed as quickly as possible but do not entitle you to compensation.

Enterprise customers may request a signed SLA with specific uptime guarantees. Such SLAs must be signed separately and are not effective unless in writing.

8. Third-party services

MyHermes depends on third-party infrastructure: Clerk (authentication), Dodo Payments (billing), Convex (control plane database), Fly.io or Modal (compute), Resend (email), and Vercel (hosting). We are not responsible for the acts or omissions of any third party. Your use of their services is subject to their respective terms and policies.

9. Intellectual property

MyHermes, its name, logo, design, documentation, and all proprietary technology are owned by MyHermes. You are granted a limited, non-exclusive, revocable licence to use the service for its intended purpose. You may not copy, reverse-engineer, or create derivative works of MyHermes technology without written permission.

Your content remains your property. You grant us a limited licence to host and process your content solely to provide the service.

10. Modifications to these terms

We may update these Terms from time to time. Material changes (e.g., new fees, liability changes, prohibited uses) will be communicated by email to active subscribers at least 30 days before they take effect. Your continued use after the effective date constitutes acceptance of the revised Terms.

11. Disclaimer

MyHermes is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the service will be uninterrupted, error-free, or secure.

12. Limitation of liability

To the fullest extent permitted by law, MyHermes's total liability for any claim arising from or related to these Terms or the service shall not exceed the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, incidental, special, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, even if advised of the possibility of such damages.

13. Indemnification

You agree to indemnify, defend, and hold harmless MyHermes and its officers, employees, and agents from any claim, demand, or damage (including reasonable attorneys' fees) arising from your use of MyHermes, your violation of these Terms, or your violation of any third-party rights.

14. Governing law and disputes

These Terms are governed by the laws of India. Any dispute arising from or related to these Terms or the service shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India. You waive any objection to venue in those courts.
